Connected Account Agreement

How your Stripe Connected Account works with the LeanPivot Payments platform.

Important: This agreement describes the relationship between you (“Merchant”), LeanPivot Payments (“Platform”), and Stripe (“Payment Processor”). By using LeanPivot Payments, you agree to both this agreement and Stripe's Connected Account Agreement, which is incorporated by reference.

1. Three-Party Relationship

LeanPivot Payments operates as a Stripe Connect Platform. When you use LeanPivot Payments, three distinct parties are involved:

  • You (the Merchant / Connected Account): You are the business owner selling goods or services through the Platform. You own your Stripe Connected Account, are responsible for your products, customers, and fulfillment obligations, and receive payouts directly from Stripe to your linked bank account.
  • LeanPivot Payments (the Platform): We provide the marketplace interface — product catalog, payment links, checkout sessions, customer tracking, and revenue dashboards. We do not process payments, hold funds, or handle card data. We are operated by LeanPivot Solutions, LLC.
  • Stripe (the Payment Processor): Stripe handles all payment processing, fund holding, identity verification (KYC/AML), PCI compliance, payout disbursement, chargeback processing, and card network interactions. Your relationship with Stripe is governed by the Stripe Connected Account Agreement and the Stripe Services Agreement.

LeanPivot Payments is not Stripe. Stripe is not LeanPivot Payments. Each party has distinct obligations described in this agreement and in the Stripe agreements linked above.

2. Your Stripe Connected Account

When you register on LeanPivot Payments, we create a Stripe Connected Account on your behalf using Stripe Connect. This account is yours — it is linked to your identity, your bank account, and your business.

As a Stripe Connect Platform, LeanPivot Payments may:

  • Create your Stripe Account or enroll an existing one during onboarding
  • Conduct Activity on your behalf, including submitting transactions, managing products, and generating payment links
  • Act as a data controller to instruct Stripe to process your data as necessary to provide Platform Services
  • Restrict your ability to access certain Stripe Dashboard features, as the Platform provides its own management interface

You should read both this agreement and the Stripe Connected Account Agreement to understand the full scope of how your account operates.

3. Your Responsibilities

You are solely responsible for:

  • Ensuring all information you provide — directly or through LeanPivot Payments — to Stripe is accurate and complete
  • The goods and services you sell, including accurate descriptions, pricing, delivery, and fulfillment
  • All obligations you owe to your customers, including customer service, refund handling, and consumer complaint resolution
  • Compliance with all applicable laws related to your business, including consumer protection, tax, and regulatory requirements
  • Providing receipts, registering your legal entity, and any other obligations not related to the Stripe services

Neither LeanPivot Payments nor Stripe is responsible for your customer obligations or the quality of your products or services.

4. What LeanPivot Payments Provides

LeanPivot Payments provides the following Platform Services (separate from Stripe's payment processing):

  • Product catalog management (create, edit, deactivate, reactivate products)
  • Payment link generation and checkout session creation
  • Customer tracking and repeat buyer analytics
  • Revenue dashboards with fee breakdowns
  • Full and partial refund initiation from the dashboard
  • Account settings, business management, and payout visibility
  • Marketplace onboarding, including Stripe Connect identity verification flow

LeanPivot Payments does not:

  • Process, hold, or transmit funds — all fund movement is handled by Stripe
  • Store credit card numbers, CVV codes, or other sensitive payment data — Stripe handles PCI compliance
  • Make payout decisions — payout timing and frequency are governed by Stripe
  • Resolve chargebacks or disputes — Stripe and the card networks handle dispute adjudication
5. Data Sharing
5.1 Your Instructions to Stripe

By using LeanPivot Payments, you instruct Stripe to share data it collects relating to you and your account activity (“User Data”) with LeanPivot Payments as necessary to provide the Platform Services. User Data includes:

  • Your personal data and the personal data of your representatives, employees, and agents
  • Your customers' personal data (email, payment details processed by Stripe)
  • Transaction data and account activity data
  • Outputs of Stripe's fraud and risk models
5.2 Data Shared with Stripe

You acknowledge that LeanPivot Payments may share your data with Stripe, including your business information, product catalog, and transaction details, as necessary for payment processing, identity verification, and compliance.

5.3 Your Consent Obligations

You must provide all notices and obtain all rights and consents necessary to enable Stripe and LeanPivot Payments to lawfully collect, use, retain, and disclose personal data as described in this agreement, the Stripe Connected Account Agreement, and Stripe's Privacy Policy.

6. Fees
6.1 How Fees Work

When a customer pays through your payment link or checkout session, fees are deducted before funds reach your account balance:

  • Stripe's processing fee is charged by Stripe for card processing, fraud detection, and compliance. This fee is set by Stripe and may change at any time per the Stripe Pricing Page and the Stripe Services Agreement.
  • LeanPivot Payments' platform fee is charged by LeanPivot Payments for the marketplace services described in Section 4. The platform fee is 2% per transaction for Standalone accounts and 1% per transaction for LeanPivot.ai Subscribers. At LeanPivot Payments' request, Stripe deducts this fee from your account balance.

Combined, the total fee is 4.9% + $0.30 per transaction (Standalone) or 3.9% + $0.30 (LeanPivot.ai Subscriber). On a $100 sale, Standalone accounts receive $94.80; LeanPivot.ai Subscribers receive $95.80.

6.2 Additional Platform Fees
  • Monthly Minimum Activity Fee: $2.50/month for standalone accounts in months with less than $250 in sales. Waived automatically at $250 in sales or for LeanPivot.ai subscribers. Billed via Stripe Invoices to your card on file.
  • Instant Payouts: 1.5% of the payout amount. Available only to active LeanPivot.ai subscribers. Standard payouts are free for all accounts.
  • Dispute Fee: $15.00 per chargeback, refunded if resolved in your favor.

Stripe does not control and is not responsible for fees imposed by LeanPivot Payments. LeanPivot Payments does not control Stripe's processing fees. Fee changes by either party will be communicated with at least 30 days' notice.

7. Stripe Dashboard Access

LeanPivot Payments provides embedded Stripe components within the Platform dashboard, including account management, balance/payout visibility, payment details, and document access. You may not have direct access to the full Stripe Dashboard.

8. Disclaimers & Limitation of Liability

Stripe is not responsible for, and disclaims all liability arising from or relating to:

  • LeanPivot Payments' acts or omissions in providing Platform Services, or any failure by LeanPivot Payments to comply with the terms of this agreement
  • Your obligations to your customers, including delivering goods/services, handling refunds, and providing customer service
  • Your compliance with laws related to your business operations

LeanPivot Payments is not responsible for, and disclaims all liability arising from or relating to:

  • Stripe's acts or omissions, including payment processing delays, fund holds, account suspensions, reserve requirements, or changes to Stripe's terms or fee structure
  • Card network decisions regarding chargebacks or disputes
  • Your obligations to your customers or the quality of your products or services

9. Termination & Deauthorization

This agreement begins when your Stripe Account is enrolled with LeanPivot Payments during onboarding and continues until terminated.

9.1 How You Can Terminate
  • Close your LeanPivot Payments account by contacting support@leanpivotpayments.com
  • Disconnect your Stripe Account from LeanPivot Payments (deauthorize the platform connection)
9.2 How We or Stripe Can Terminate
  • LeanPivot Payments may terminate this agreement at any time for any reason upon notice, as described in our Terms of Service
  • Stripe may terminate the Connected Account Agreement at any time for any reason by notifying you
9.3 Effects of Termination
  • Terminating this agreement does not automatically close your Stripe Account. Your Stripe Account continues under the Stripe Services Agreement until you or Stripe terminate it separately.
  • If you re-register with LeanPivot Payments after termination, this agreement reapplies.
  • Upon deauthorization, LeanPivot Payments will write off any pending minimum activity fees for the partial month. No “exit invoice” will be generated.
  • You remain liable for all chargebacks, disputes, refunds, and fees incurred before termination, as described in our Terms of Service.
10. Stripe Agreements

This agreement supplements — but does not replace — Stripe's own agreements. By using LeanPivot Payments, you are bound by:

The version of the Stripe Services Agreement incorporated here is the version that applies to your Stripe Account Country (United States). To the extent there is a conflict between the Stripe Services Agreement and the Stripe Connected Account Agreement, the Connected Account Agreement prevails.

11. Definitions

The following terms have the meanings given below. All other capitalized terms have the meanings given in the Stripe Services Agreement.

  • “Activity” means any action taken on or related to your Connected Account that LeanPivot Payments or you initiate, submit, or perform through the Stripe Technology or Stripe Connect Services, including transaction data and communication regarding the services.
  • “Platform Services” means the products and services you receive from LeanPivot Payments, including the product catalog, payment links, checkout sessions, customer tracking, revenue dashboards, and account management tools.
  • “Platform Provider Agreement” means, collectively, this Connected Account Agreement and the LeanPivot Payments Terms of Service.
  • “Payment Processor” means Stripe, Inc., which provides all payment processing, fund holding, and card network interactions.
